SmartED-i™ (including ED-iMART™) Donation Terms & Conditions for Charities and Not-for-Profit Organisations

These Terms & Conditions govern the acceptance and use of donated EFFC&M™️ (Equipment, Fittings, Furniture, Components & Materials) items by registered charities and not-for-profit organisations via the SmartED-i™ platform (including ED-iMART™). By registering and accepting any donation, you agree to these Terms.

1. Eligibility

  • Your organisation must be a registered charity or recognised not-for-profit operating in good standing.
  • An authorised representative must be registered on SmartED-i™ and is responsible for all actions and declarations on behalf of your organisation.

2. Nature of Donation

  • All items are provided free of charge on an “as seen” and “as available” basis.
  • Items may be new, used, refurbished, or surplus, with no warranties or guarantees of condition or suitability.
  • SmartED-i™, ED-iMART™, GreenED Group Limited, and donors accept no liability for item quality, performance, or condition.
  • You are solely responsible for assessing and confirming the suitability and safety of all items before use.

3. Delivery & Collection

  • Delivery is not automatically included in donations.
  • After accepting a donation, you may choose:
    • Self-Collection: Collect items directly from the donor within the agreed timeframe.
    • Request a Delivery Quote: Use the ED-iMART™ logistics option for a costed delivery quote, payable via the platform.
  • If self-collecting, ensure proper vehicles, personnel, and equipment are used safely.
  • All delivery costs must be paid before collection or dispatch.
  • SmartED-i™ and donors are not responsible for storage, loss, or damage after the collection period expires.

4. Acceptance of Donation

  • Once a donation is accepted via SmartED-i™ or ED-iMART™, it is binding and cannot be revoked.
  • If you fail to collect or refuse delivery without valid reason, SmartED-i™ may:
    • Record the failure against your account,
    • Restrict future access to donations, and/or
    • Recover logistics or handling costs incurred.
  • Items cannot be returned unless they materially differ from the published description.

5. Use of Donated Items

  • Items must be used solely for charitable or not-for-profit purposes.
  • Items must not be sold, auctioned, or used for private/commercial gain without written consent from SmartED-i™ or the donor.
  • You must ensure safe and compliant use of items (e.g., electrical, fire, and health & safety standards).
  • Transfer to another charity is allowed only with prior written consent from SmartED-i™.

6. Environmental & Zero Waste Commitment

  • Your organisation agrees to support zero waste to landfill principles.
  • When items reach end-of-life, you must:
    • Reuse, repair, or repurpose where possible,
    • Recycle or recover materials responsibly,
    • Avoid landfill disposal unless no alternative exists.
  • SmartED-i™ may request proof of proper reuse, recycling, or disposal for reporting.

7. Liability & Indemnity

  • SmartED-i™, GreenED Group Limited, and donors accept no liability for any loss, damage, or injury related to donated items.
  • You accept full responsibility for safe inspection, transport, and use of items.
  • You agree to indemnify and hold harmless SmartED-i™, GreenED Group, and donors from any claims arising from misuse or breach of these Terms.

8. Records, Transparency & Audit

  • SmartED-i™ may record donation data for audit and ESG reporting.
  • You consent to data storage under UK data protection laws.
  • You may be asked to confirm or evidence item use or disposal for audit purposes.

9. Breach of Terms

  • Non-compliance may result in:
    • Suspension or removal from donation programmes,
    • Notification to donors or partners,
    • Recovery of administrative or logistics costs.

10. General Provisions

  • These Terms form the entire agreement between your organisation, SmartED-i™, and the donor.
  • SmartED-i™ may update these Terms periodically; updated versions apply automatically.
  • These Terms are governed by the laws of England and Wales.

11. Acceptance Declaration

By registering as a charity or not-for-profit on SmartED-i™ (including ED-iMART™), you confirm that:

  • You have read and understood these Terms & Conditions.
  • You are authorised to act on behalf of your organisation.
  • You accept that all donations are provided “as seen” and “as available”.
  • You understand that delivery is not included unless arranged.
  • You agree to SmartED-i™’s zero waste to landfill principles.
  • You accept these Terms as legally binding on your organisation.
