ED-iMART™ Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the ED-iMART™ Marketplace ("Marketplace") operated by GreenED Group Limited ("we", "us", "our"). By accessing or using the Marketplace, you agree to be bound by these Terms.

2. Eligibility

                            To use the Marketplace, you must be at least 18 years old and capable of entering into a legally binding agreement.
If you are using the Marketplace on behalf of a company or organisation, you confirm you have authority to bind that entity to these Terms.

3. Marketplace Services

The Marketplace allows users to list, search, buy, sell, or exchange equipment, furniture, fittings, components, and materials ("Items"). We act as a platform provider only. We are not a party to any transaction between users and do not take ownership of any Items listed.

4. User Accounts

To list or trade Items, you must register for an account.
You must provide accurate and complete information and keep your account details up to date.
You are responsible for all activity under your account and must keep your login details secure.

5. Listings and Content

Users are responsible for the accuracy, legality, and quality of all content, images, and information they upload to the Marketplace.
Listings must not be misleading, fraudulent, or infringe the rights of others.
We reserve the right to remove any listing or content at our sole discretion.

6. Transactions and Payments

Users are responsible for agreeing on transaction terms, including price, delivery, and condition of Items.
We may offer integrated payment solutions, but we are not responsible for any payment disputes.
All transactions are made at your own risk.

Service & Transaction Fee on Items for Sale or Exchange: 13.5%

ED-i DONATE

Fee to list items for Donation to Charitable Organisations: £12 (plus VAT) per 250 products

Example Transaction Breakdown (UK Card)

Sale Amount:	£100.00
Total VAT on Item Transaction including Fees (20%):	£20
ED-iMART Transaction & Service Fee (13.5%):	£13.5
VAT on ED-iMART Transaction & Service Fee:	£2.7
VAT on Service Fee (13.5%):	£2.7
Net payout to seller:	103.8

🔹 Key point: The Seller of the item is responsible for all VAT applicable to the transaction.

8. Prohibited Use

You must not use the Marketplace for unlawful purposes or in any way that could harm others or interfere with the functioning of the platform. This includes sending spam, uploading harmful content, or attempting to gain unauthorised access.

9. Intellectual Property

All intellectual property in the SmartED-i platform, including the Marketplace, is owned by or licensed to GreenED Group Limited. You must not copy, reproduce, or distribute any part of the Marketplace without permission.

10. Disclaimers

We provide the Marketplace "as is" and without any guarantees. We do not guarantee continuous availability, accuracy of listings, or that Items will meet your expectations. You use the Marketplace at your own risk.

11. Liability

To the extent permitted by law, we shall not be liable for any loss or damage arising from your use of the Marketplace, including loss of profits, data, or business opportunities.

12. Termination

We may suspend or terminate your access to the Marketplace at any time if we believe you have breached these Terms or for operational reasons. You may close your account at any time by contacting us.

13. Changes to Terms

We may update these Terms from time to time. We will notify users of significant changes. Continued use of the Marketplace after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
